Terms of Service
Effective Date: February 26, 2026
These Terms of Service ("Terms") are a binding legal agreement between you and LeadRescuePro LLC governing your access to and use of the Services.
1. Definitions
- "LeadRescuePro," "Company," "we," "our," and "us" means LeadRescuePro LLC, a Wyoming single-member limited liability company formed on December 17, 2025, Wyoming Filing Number 2025-001843865.
- "Client," "you," and "your" means the legal entity or individual accepting these Terms.
- "Services" means LeadRescuePro's inbound call overflow SaaS platform and related workflows.
- "Implementation Scope" means any written scope of work, setup plan, or operating agreement accepted directly between you and LeadRescuePro.
- "Third-Party Services" means telecom carriers, cloud hosting providers, and other infrastructure providers used to operate the Services.
2. Description of Services
The Services provide inbound-only workflows for U.S. plumbing companies using a dedicated AI receptionist number. Calls may reach that number through forwarding rules, after-hours routing, campaigns, or other approved inbound paths. The workflow can qualify ZIP codes, collect lead details, and support appointment booking workflows.
3. Eligibility
You represent and warrant that you have legal authority to bind the Client and that your use of Services complies with all applicable federal, state, and local laws.
4. Account Registration and Responsibilities
You must provide accurate account information, maintain account security, and promptly update inaccurate information. You are responsible for all activity under your credentials and for lawful handling of caller communications.
5. Service Scope Limitations (Inbound Only)
Services are inbound only. Outbound calling is excluded. Call recording is not included in v1. LeadRescuePro does not guarantee that any particular call will be answered, qualified, or converted to a booked appointment.
6. AI Accuracy Disclaimer
AI outputs may be incomplete, inaccurate, delayed, or contextually incorrect. You remain solely responsible for reviewing lead details, appointment data, and service-area determinations before relying on any output.
7. No Revenue or Conversion Guarantee
LeadRescuePro does not guarantee increased revenue, conversion rates, call volume, profitability, booked jobs, or other business outcomes.
8. Direct Scope Confirmation
The public website may start checkout and setup payment. Implementation scope, launch schedule, and any custom routing details must still be confirmed directly in writing with LeadRescuePro before activation.
9. Acceptable Use
You must not use Services to violate law, infringe rights, transmit unlawful content, interfere with system operation, circumvent controls, attempt unauthorized access, or engage in abusive, fraudulent, or deceptive practices.
10. Intellectual Property Ownership
LeadRescuePro retains all right, title, and interest in the Services, software, workflows, documentation, and related intellectual property. No ownership rights are transferred to you.
11. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect confidential information with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors with a need to know and confidentiality obligations.
12. Third-Party Services and Telecom Dependencies
Services depend on Third-Party Services and carrier networks. LeadRescuePro is not responsible for outages, delays, routing failures, policy changes, or performance limitations attributable to those third parties.
13. Termination Rights
LeadRescuePro may suspend or terminate Services for legal risk, misuse, security risk, unsupported use, or material breach.
14. Indemnification
You will defend, indemnify, and hold harmless LeadRescuePro and its officers, members, employees, and agents from claims and losses arising from your data, configuration, use of Services, law violations, or breach of these Terms.
15. Limitation of Liability
To the maximum extent permitted by law, LeadRescuePro is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunity, and data loss.
LeadRescuePro's aggregate liability for all claims arising from or related to Services is limited to the maximum extent permitted by law and any directly executed written agreement.
16. Binding Arbitration (Wyoming)
Except for claims eligible for small claims court and requests for injunctive relief regarding intellectual property or confidentiality, disputes will be resolved by final binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Seat and venue: Sheridan County, Wyoming. Each party waives jury trial and class or representative proceedings to the extent permitted by law.
17. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
18. Force Majeure
LeadRescuePro is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, utility or telecom outages, internet failures, labor disputes, epidemics, government actions, and failures of Third-Party Services.
19. Modification Clause
LeadRescuePro may modify these Terms by posting updated Terms at https://www.leadrescuepro.com/terms/. Continued use after effective date constitutes acceptance.
20. Survival
Sections concerning confidentiality, intellectual property, indemnification, limitation of liability, arbitration, governing law, and any obligations intended to survive termination will survive termination or expiration.
21. Entire Agreement
These Terms, together with incorporated policies and any executed order documents, constitute the entire agreement between the parties regarding Services and supersede prior representations or agreements.
