Terms of Service
Effective Date: February 26, 2026
These Terms of Service ("Terms") are a binding legal agreement between you and LeadRescuePro LLC governing your access to and use of the Services.
1. Definitions
- "LeadRescuePro," "Company," "we," "our," and "us" means LeadRescuePro LLC, a Wyoming single-member limited liability company formed on December 17, 2025, Wyoming Filing Number 2025-001843865.
- "Client," "you," and "your" means the legal entity or individual accepting these Terms.
- "Services" means LeadRescuePro's inbound call overflow SaaS platform and related workflows.
- "Setup Fee" means the one-time onboarding and implementation fee.
- "Subscription Fee" means the recurring monthly platform access fee.
- "Usage Charges" means metered fees calculated from Billable Minutes.
- "Billable Minute" means each minute or partial minute of eligible call handling usage measured under the Billing and Usage Policy.
- "Third-Party Services" means Twilio, Stripe, Google APIs, telecom carriers, and cloud hosting or infrastructure providers.
2. Description of Services
The Services provide inbound-only call overflow workflows for U.S. plumbing companies. Calls ring your designated plumber number first for ten (10) seconds. If unanswered, AI may answer inbound calls, qualify ZIP codes, collect lead details, and support appointment booking workflows.
3. Eligibility
You represent and warrant that you have legal authority to bind the Client and that your use of Services complies with all applicable federal, state, and local laws.
4. Account Registration and Responsibilities
You must provide accurate account information, maintain account security, and promptly update inaccurate information. You are responsible for all activity under your credentials and for lawful handling of caller communications.
5. Service Scope Limitations (Inbound Only)
Services are inbound only. Outbound calling is excluded. Call recording is not included in v1. LeadRescuePro does not guarantee that any particular call will be answered, qualified, or converted to a booked appointment.
6. AI Accuracy Disclaimer
AI outputs may be incomplete, inaccurate, delayed, or contextually incorrect. You remain solely responsible for reviewing lead details, appointment data, and service-area determinations before relying on any output.
7. No Revenue or Conversion Guarantee
LeadRescuePro does not guarantee increased revenue, conversion rates, call volume, profitability, booked jobs, or other business outcomes.
8. Fees and Billing
- Setup Fee: $997 one-time.
- Subscription Fee: $199 monthly, billed in advance.
- Usage Charges: $0.50 per Billable Minute, billed in arrears.
All amounts are in U.S. dollars and exclude taxes, duties, and government charges, which are your responsibility.
9. Authorization to Charge
You authorize LeadRescuePro and its payment processors to charge your designated payment method for Setup Fee, Subscription Fee, Usage Charges, taxes, reactivation fees, and other charges due under these Terms. This authorization remains valid until all amounts due are fully paid.
10. Pre-Charge Notification and Invoice Notice
You consent to receive electronic invoices, billing receipts, and payment notices. Subscription renewals and metered charges are billed according to your billing cycle and invoice records in your account and payment processor records.
11. Failed Payment, 48-Hour Grace Period, Suspension, and Reactivation
Failed, declined, or reversed payments may trigger a 48-hour grace period before service suspension. If balances remain unpaid after grace period expiration, LeadRescuePro may suspend service access. Reactivation may require full payment of outstanding balances and a reactivation fee.
12. Cancellation (Anytime Before Renewal)
Subscriptions are month-to-month. You may cancel before your next renewal date using the billing portal or by sending written notice to [email protected]. Charges already incurred remain due and are not retroactively reversed.
13. Non-Refundable Setup Fee and Refund Limits
The Setup Fee is non-refundable once onboarding work begins. No prorated refunds are provided for partial billing periods. Usage Charges are final once incurred and measured.
14. Billing Disputes and Chargebacks
You must submit billing disputes in writing to [email protected] before initiating any chargeback or payment reversal. You agree to cooperate in good faith with dispute investigations, including reasonable document production.
15. Acceptable Use
You must not use Services to violate law, infringe rights, transmit unlawful content, interfere with system operation, circumvent controls, attempt unauthorized access, or engage in abusive, fraudulent, or deceptive practices.
16. Intellectual Property Ownership
LeadRescuePro retains all right, title, and interest in the Services, software, workflows, documentation, and related intellectual property. No ownership rights are transferred to you. You receive a limited, non-exclusive, revocable right to use the Services during an active subscription.
17. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect confidential information with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors with a need to know and confidentiality obligations.
18. Third-Party Services and Telecom Dependencies
Services depend on Third-Party Services and carrier networks. LeadRescuePro is not responsible for outages, delays, routing failures, policy changes, or performance limitations attributable to those third parties.
19. Termination Rights
LeadRescuePro may suspend or terminate Services for non-payment, legal risk, misuse, security risk, or material breach. You remain liable for all accrued charges through termination effective date.
20. Indemnification
You will defend, indemnify, and hold harmless LeadRescuePro and its officers, members, employees, and agents from claims and losses arising from your data, configuration, use of Services, law violations, or breach of these Terms.
21. Limitation of Liability
To the maximum extent permitted by law, LeadRescuePro is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunity, and data loss.
LeadRescuePro's aggregate liability for all claims arising from or related to Services will not exceed the total fees paid by you to LeadRescuePro during the three (3) months preceding the event giving rise to the claim.
22. Binding Arbitration (Wyoming)
Except for claims eligible for small claims court and requests for injunctive relief regarding intellectual property or confidentiality, disputes will be resolved by final binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Seat and venue: Sheridan County, Wyoming. Each party waives jury trial and class or representative proceedings to the extent permitted by law.
23. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
24. Force Majeure
LeadRescuePro is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, utility or telecom outages, internet failures, labor disputes, epidemics, government actions, and failures of Third-Party Services.
25. Modification Clause
LeadRescuePro may modify these Terms by posting updated Terms at https://www.leadrescuepro.com/terms/. Continued use after effective date constitutes acceptance.
26. Survival
Sections concerning fees, refunds, disputes, chargebacks, confidentiality, intellectual property, indemnification, limitation of liability, arbitration, governing law, and any obligations intended to survive termination will survive termination or expiration.
27. Entire Agreement
These Terms, together with incorporated policies and any executed order documents, constitute the entire agreement between the parties regarding Services and supersede prior representations or agreements.
